Alkaline End User Licensing Agreement (EULA)

This license is a legal agreement between you and Budin Ltd. for the use of Alkaline (all versions) Software (the "Software"). By downloading any version of Alkaline or any first-party theme or extension, you agree to be bound by the terms and conditions of this license. Budin Ltd. reserves the right to alter this agreement at any time, for any reason, without notice.

1. Permitted use. Each Alkaline license grants you the right to deploy one Alkaline installation. A single installation may occupy multiple virtual or physical computers (e.g., a "cloud" server environment), but you may not use a single license to host multiple, separate Alkaline instances.
• Alkaline. Alkaline licensees may use the Software for personal or commercial use. The licensee may grant the use of the Dashboard to third parties but may not alter or manipulate the Software including its database substructure to develop or simulate multiuser functionality.
• Alkaline Multiuser. Alkaline Multiuser licensees may use the Software for personal or commercial use except in those cases in which photography is the primary offering or on which the primary offering depends (e.g., photo distributors, modeling agencies, news publishers).
• Alkaline Enterprise. Alkaline Enterprise licensees may use the Software for any use or application specified in the lease contract.
2. Open Source Components. Certain components contained within the Software were not developed by Budin Ltd. and are not subject to this agreement. You agree to use these components in a manner consistent with their respective licensing agreements.
3. Restrictions.
• Use the Software as the basis of a hosted photo service, or to provide hosting services to others.
• Circumvent or disable any piracy-prevention mechanisms.
• Reproduce, distribute, or transfer the Software, or portions thereof, to any third party.
• Sell, rent, lease, assign, or sublet the Software or portions thereof.
• Grant rights to any other person.
• Use the Software in violation of any U.S. or international law or regulation.
4. Display Of Copyright Notices. All copyright and proprietary notices and logos in the Dashboard and within the Software files must remain intact.
• "Powered By" Notice. This notice may be altered so long as it is: visible, legible, in English (or, alternatively, the primary language of the Web site), maintains the spirit of the statement, and contains a working hyperlink to http://www.alkalineapp.com/.
5. Making Copies. You may make copies of the Software for back-up purposes, provided that you reproduce the Software in its original form and with all proprietary notices on the back-up copy.
6. Software Modification. You may alter, modify, or extend the Software for your own use, or commission a third-party to perform modifications for you, but you may not resell, redistribute or transfer the modified or derivative version without prior written consent from Budin Ltd. Components from the Software may not be extracted and used in other programs without prior written consent from Budin Ltd.
7. Transfer Of License. Alkaline licensees may deauthorize their license from its current location and reauthorize the license in a new location. Licenses may not be transferred between individuals, corporations, or any other legal entity.
8. Membership. Alkaline licensees may access a section of our Web site reserved for purchasers of the Software. Budin Ltd. reserves the right to suspend or revoke access to this area for disruptive, malicious, or illicit conduct. Loss of membership terminates all benefits including, but not limited to, downloading the Software and its updates.
9. Updates. Budin Ltd. may, at its sole discretion, release updates to the Software. In-version updates (such as from v1.0 to v1.1) will be made complimentarily available to purchasers of the Software. Notice of pending updates is not a guarantee of future updates.
10. Technical Support. Technical support is provided for 60 days from the date of purchase. We do not provide support for third-party modifications. No representations or guarantees are made regarding the response time in which support questions are answered.
11. Refund Policy. Refunds will be granted when a customer, in good faith, as determined by Budin Ltd., has utilized the most recent Alkaline Compatibility Suite to ensure compatibility and the Software is incompatible. Customers should submit a support ticket within 30 days of purchase to request a refund.
12. Indemnity. You agree to indemnify and hold harmless Budin Ltd. for any third-party claims, actions or suits, as well as any related expenses, liabilities, damages, settlements or fees arising from your use or misuse of the Software, or a violation of any terms of this license.
13. Disclaimer Of Warranty. The software is provided "as is", without warranty of any kind, expressed or implied, including, but not limited to, warranties of quality, performance, non-infringement, merchantability, or fitness for a particular purpose. Further, Budin Ltd. does not warrant that the software or any related service will always be available.
14. Limitations Of Liability. You assume all risk associated with the installation and use of the software. In no event shall the authors or copyright holders of the software be liable for claims, damages or other liability arising from, out of, or in connection with the software. License holders are solely responsible for determining the appropriateness of use and assume all risks associated with its use, including but not limited to the risks of program errors, damage to equipment, loss of data or software programs, or unavailability or interruption of operations.
